These Terms of Service ("Terms") govern your use of https://stlweb.dev and any web development services provided by Fated LLC dba stlweb.dev ("stlweb.dev," "we," "us"). By engaging our services, you agree to these Terms.

1. Services

stlweb.dev provides web design, frontend development, backend development, API engineering, security auditing, performance optimisation, SEO services, and ongoing maintenance. Specific deliverables, timelines, and pricing for each project are defined in a written Statement of Work (SOW) or project proposal.

2. Scope of Work & Changes

All work is performed per the agreed SOW. Changes to scope ("change orders") must be submitted in writing and approved by both parties before work begins. Change orders may affect pricing and timeline. We do not perform unlimited revisions under a fixed-price engagement; the number of revision rounds is specified in the SOW.

3. Payment Terms

Fixed-price projects: 50% deposit due before work begins; 50% due upon delivery.
Hourly engagements: invoiced weekly or bi-weekly, net 14 days.
Monthly maintenance: billed in advance on the 1st of each month.
One-time fixes (SSL, performance): payment due before work begins.
Late payments accrue interest at 1.5% per month after net 14 days.
We reserve the right to suspend services for accounts 30+ days past due.

All prices are in US Dollars (USD). Invoices are issued by Fated LLC dba stlweb.dev.

4. Intellectual Property

Upon receipt of full payment, you receive full ownership of the custom code, design assets, and content created specifically for your project. We retain the right to:

Display the work in our portfolio (unless you request otherwise in writing).
Use open-source libraries and components subject to their respective licenses.
Retain our own reusable internal tools and frameworks.

You warrant that any content, images, or assets you provide do not infringe third-party intellectual property rights.

5. Client Responsibilities

You agree to:

Provide timely feedback and approvals (within 5 business days unless otherwise agreed).
Provide necessary access (hosting credentials, domain access, third-party API keys).
Ensure all content you provide is accurate, lawful, and not infringing.

Project delays caused by client inaction may result in timeline adjustments and additional charges.

6. Warranties & Representations

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. We do not warrant that the website will be free from all bugs after delivery, but we will use commercially reasonable efforts to address reported defects during the warranty period specified in the SOW (typically 30–60 days post-launch).

We do not warrant specific search engine rankings, traffic, or business results. SEO and marketing services improve positioning but cannot guarantee specific outcomes.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STLWEB.DEV AND FATED LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA LOSS, ARISING FROM YOUR USE OF OUR SERVICES OR SITE.

Our total aggregate liability for any claim arising from a specific project shall not exceed the total fees paid by you for that project in the 12 months preceding the claim.

8. Termination

Either party may terminate a project engagement with 14 days written notice. In the event of termination:

You owe payment for all work completed to date.
We will deliver all completed work product upon receipt of payment for completed work.
Monthly maintenance subscriptions may be cancelled with 30 days notice.

9. Confidentiality

We treat your business information, project details, and technical specifications as confidential. We will not disclose proprietary information to third parties without your written consent, except as required by law.

10. Governing Law

These Terms are governed by the laws of the State of Missouri, USA. Any disputes shall be resolved in the courts of St. Louis County, Missouri, or through mutually agreed arbitration.

11. Entire Agreement

These Terms, together with any applicable SOW or project proposal, constitute the entire agreement between you and stlweb.dev regarding the subject matter herein.
